These terms of services outline how we work, create, and connect with you.

1. Introduction and Acceptance

These Terms of Service (the "Terms") govern the provision of all services offered by Blesyum Digital Agency ("Blesyum," "We," "Us," or "Our"). By engaging Blesyum for any services, the client ("Client" or "You") agrees to be bound by these Terms, which constitute a legally binding agreement. Blesyum reserves the right to update these Terms at any time without prior notice.

2. Full-Spectrum Scope of Services

Blesyum operates as a full-spectrum digital agency, offering a wide range of services including, but not limited to: Web Design, Full-Stack Development, Mobile App Development, Digital Marketing, SEO, E-commerce Solutions, Creative Branding, and Strategic Consulting.

  • Customization: All services are tailored to the Client's specific needs, outlined in a separate Statement of Work (SoW) or Proposal.

  • Limitation: Blesyum will only be responsible for delivering the services explicitly defined and agreed upon in the signed SoW or Proposal.

3. Client Responsibilities

The Client agrees to:

  • Provide all necessary materials, content, data, and access credentials promptly to avoid project delays.

  • Review and approve deliverables and project phases in a timely manner. Delays in feedback may affect project timelines and completion dates.

  • Ensure that all content provided to Blesyum (text, images, logos, etc.) does not infringe upon any third-party copyrights or intellectual property rights. The Client assumes full legal responsibility for all provided content.

4. Project Management and Revisions

  • Project Timelines: Project timelines are estimates. Blesyum is not liable for delays caused by the Client's failure to provide materials, delayed feedback, or force majeure events.

  • Revisions: The number of included revision cycles will be defined within the SoW. Excessive revisions beyond the agreed-upon scope may result in additional fees, charged at Blesyum's standard hourly rate.

  • Scope Creep: Any requests for work that falls outside the defined SoW constitutes a scope change and must be agreed upon in a formal Change Order, potentially adjusting fees and timelines.

5. Fees and Payment

  • Pricing: All fees, payment schedules, and currency specifications will be detailed in the Proposal or SoW.

  • Invoicing: Invoices are typically issued based on project milestones or monthly retainer terms.

  • Late Payment: Payments are due within the timeframe specified on the invoice. Blesyum reserves the right to pause all services, remove project files from public servers, or charge a late fee for overdue invoices.

6. Intellectual Property

  • Client Content: The Client retains full ownership of all intellectual property provided to Blesyum for use in the project.

  • Blesyum Deliverables: Upon full and final payment of all outstanding invoices, the Client is granted full ownership of the final creative and code deliverables specifically created for the project.

  • Blesyum Tools/Methods: Blesyum retains ownership of all proprietary code libraries, tools, project templates, methodologies, and general knowledge utilized during the execution of the services. These materials are licensed to the Client for use in the final deliverables but remain the property of Blesyum.

  • Portfolio Rights: Blesyum reserves the right to display the completed work in its marketing, portfolio, and promotional materials.

7. Warranties and Limitation of Liability

  • No Express Warranty: Blesyum provides its services "as is" and makes no express or implied warranties regarding the suitability or performance of the deliverables beyond what is specified in the SoW.

  • Limitation of Liability: Blesyum shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit or revenue, arising from the use or inability to use the services. Blesyum's total liability for any claim arising out of these Terms shall not exceed the total fees paid by the Client to Blesyum for the specific service in question.

8. Termination

Either party may terminate the agreement with written notice if the other party breaches any material term of this agreement and fails to cure the breach within 30 days of receiving notice. In the event of termination by the Client without cause, all sums due to Blesyum for work completed up to the termination date, plus any accrued expenses, will become immediately payable.
